The Panel has today published the reasons for its decision in the BreakFree 02 proceedings (the Proceedings).

The Takeovers Panel advises that it has decided not to conduct proceedings with respect to the application made by Hillgrove Gold Limited (HGO) in relation to Selwyn Mines Limited (SLN).

In Takeovers Panel media release 85/2003 (a copy of which is available at ), the Panel advised that it had received an application from BreakFree Limited (BreakFree) pursuant to section 657A of the Corporations Act 2001 (Cth) (the Act) for a declaration of unacceptable circumstances in relation to an amended bidder's statement (the Bidder's Statement) by S8 Limited (S8) concerning its takeover bid for BreakFree.

The Panel has today published the reasons for its decision in the proceedings (the Proceedings) relating to Trysoft Corporation Limited (Trysoft).

The sitting Panel has decided to make no declaration or order in relation to the application by Westchester Financial Services Pty Ltd regarding the meeting of AuIron Energy Limited to seek approval by AuIron shareholders of the acquisition by AuIron of the Yarrabee Coal Company Pty Ltd, in exchange for a substantial interest in AuIron.

The Panel has received an application from Visy Industrial Packaging and Holdings Pty Ltd (VIPH) dated 19 September 2003 alleging unacceptable circumstances in relation to schemes of arrangement between National Can Industries Limited (NCI) and Esk Holdings Pty Ltd (Esk).

The Takeovers Panel received some, but not all, of the parties' submissions on the application of Westchester Financial Services Pty Ltd concerning the general meeting of AuIron Energy Ltd convened for 19 September to consider the acquisition of the Yarrabee coal mine. Westchester applied for orders deferring the meeting until additional information had been provided to shareholders.

The Takeovers Panel advises that it has received an application from BreakFree Limited (BreakFree) pursuant to section 657A of the Corporations Act 2001 (Cth) (the Act) for a declaration of unacceptable circumstances in relation to an amended bidder's statement (the Bidder's Statement) by S8 concerning its takeover bid for BreakFree.
