Bullseye Mining Limited 02

Introduction

  1. The Panel, Richard Hunt (sitting President), Rory Moriarty and Neil Pathak, made a declaration of unacceptable circumstances in relation to the affairs of Bullseye Mining Limited. The application raised disclosure and control issue concerns in relation to a capital raising transaction involving the issue of convertible notes and a gold prepayment funding proposal with a related party. The Panel declared the circumstances unacceptable having regard to, among other things, the effect on potential control of the terms of the convertible notes.

Explaurum Limited

  1. The Panel, Alex Cartel (sitting President), Shirley In't Veld and Jeremy Leibler, declined to conduct proceedings on an application by Ramelius Resources Limited in relation to the affairs of Explaurum Limited. Ramelius made an off-market takeover bid for all Explaurum shares on issue. The application concerned statements in the Target's Statement, including relating to the value of Ramelius's offer, which Ramelius submitted were misleading.

Tribune Resources Limited 02R - Variation of orders

The review Panel has varied the initial Panel's orders in Tribune Resources Limited (see TP18/73). In that matter, the Panel made orders including the vesting of 12,025,519 Tribune shares held by Rand Mining Limited in ASIC to sell, further disclosure and voting restrictions.

On 31 October 2018, Rand sought a review of the initial Panel's decision to make orders (see TP18/74).

Tribune Resources Ltd

Introduction

  1. The Panel, Chelsey Drake, Teresa Dyson and Christian Johnston (sitting President) made a declaration of unacceptable circumstances in relation to the affairs of Tribune Resources Limited. The application concerned the identity of persons who have a relevant interest in the shareholdings of Tribune shareholders who together hold approximately 60% of Tribune shares.

Tribune Resources Limited 02R - Panel Receives Application and President Makes Interim Orders

The Panel has received an application from Rand Mining Limited seeking a review of the Panel's decision on final orders in Tribune Resources Limited (see TP18/73).  

A review Panel has not been appointed at this stage and no decision has been made whether to conduct proceedings.  The Panel makes no comment on the merits of the application.

Explaurum Limited - Panel Receives Application

The Panel has received an application from Ramelius Resources Limited in relation to the affairs of Explaurum Limited.  Explaurum is currently the subject of an off-market takeover bid by Ramelius for 100% of the shares in Explaurum for consideration of 1 Ramelius share for every 4 Explaurum shares.

A sitting Panel has not been appointed at this stage and no decision has been made whether to conduct proceedings.  The Panel makes no comment on the merits of the application.
