Sedgman Limited - Panel Receives Application

The Panel has received an application from Sedgman Limited in relation to its affairs. Sedgman is currently the subject of an unconditional off-market takeover bid from CIMIC Group Investments Pty Limited (CGI), a wholly owned subsidiary of CIMIC Group Limited (CIMIC).

A sitting Panel has not been appointed at this stage and no decision has been made whether to conduct proceedings. The Panel makes no comment on the merits of the application.

The President's Club Limited 02 - New Interim Orders on Voting and Disposal

The Panel has previously made interim orders regarding:

  • disposal of the shares in The President's Club Limited held by Coeur de Lion Investments Pty Ltd and its associated parties on 18 November 2015 (see TP15/62 ) and
  • voting of shares in President's Club on 17 November 2015 (see TP15/61 ).

In view of the time that has elapsed, the Panel has made new interim orders to the same effect as the previous orders (see Annexures A and B).

Brisbane Markets Limited - Panel Receives Application

The Panel has received an application from Brisbane Markets Limited in relation to its affairs. Brisbane Markets is an unlisted company with more than 50 shareholders. Brisbane Markets is currently the subject of an off-market takeover bid from Produce Markets Queensland Pty Ltd (PMQ), a wholly owned subsidiary of VGI Partners Pty Ltd (VGI).

Resource Generation Limited

Introduction

  1. The Panel, Stephanie Charles, David Friedlander and Nora Scheinkestel (sitting President), made a declaration of unacceptable circumstances in relation to the affairs of Resource Generation Limited. The application concerned, among other things, the failure to disclose an alleged association between 3 Resource Generation shareholders 2 of whom were members of a debt club seeking to provide new project financing to the company. One of the shareholders (Altius) had requisitioned a general meeting to change the composition of the Resource Generation board.
