Yancoal Australia Limited 02 & 03 – Panel Declines to Conduct Proceedings

The Panel has declined to conduct proceedings on the applications by (i) Senrigan Capital Management Ltd and Mr Nicholas R. Taylor dated 8 August 2017 and (ii) Mt Vincent Holdings Pty Ltd and Osendo Pty Ltd (indirect wholly-owned subsidiaries of Noble Group Limited) dated 9 August 2017 in relation to the affairs of Yancoal Australia Limited.

Introduction

  1. The Panel, Alex Cartel, Elizabeth Hallett (sitting President) and Rebecca Maslen-Stannage, declined to conduct proceedings on an application by Lepidico Limited in relation to its affairs. Lepidico was the subject of an off-market takeover bid by Lithium Australia NL. The application concerned statements made by Lithium in announcements relating to Lithium's proprietary SileachTM process, which Lepidico submitted were misleading.

  1. The Panel, Alex Cartel, Elizabeth Hallett (sitting President) and Rebecca Maslen-Stannage, consented to a request by the Australian Securities and Investments Commission to withdraw its application in relation to the affairs of Lepidico Limited. Lepidico was the subject of an off-market takeover bid by Lithium Australia NL. The application concerned a report prepared by Leadenhall Corporate Advisory Pty Ltd reviewing the independent expert's report included in Lepidico's target's statement.

The fees payable for Panel applications are indexed each year from 1 July based on any increase in the Consumer Price Index, pursuant to the Corporations (Fees) Act 2001 (Cth) and Corporations (Fees) Regulations 2001 (Cth).
